TERMS, GENERAL CONDITIONS and WARRANTY I-MOTION GROUP GLOBAL IBÉRICA S.L.

1) INTERPRETATION
In this document, “Customer” shall refer to the person, organisation or company purchasing and/or using the equipment. “Equipment” shall mean the products described in the quote issued by the manufacturer. Headings are solely for ease of reference and do not form part of these Terms and Conditions.
2) GENERAL
These Terms and Conditions shall apply to the exclusion of any others. Any contractual terms and conditions of the Customer (whether on the Customer’s order form or otherwise) are expressly excluded. The Customer acknowledges that these terms and conditions comprise the entire agreement between the parties and agrees to be bound by them.
3) ALTERATIONS AND OTHER AGREEMENTS
The Customer acknowledges and agrees that these Terms and Conditions may be amended by the manufacturer.
4) TECHNICAL INFORMATION
The Customer acknowledges and agrees that the intellectual and industrial property rights to all prices, drawings, illustrations, designs, specifications and any other information provided in relation to the equipment belong to the manufacturer. The Customer further acknowledges and agrees that the details and contents of drawings, illustrations, designs, specifications and other information shall be confidential.
5) ORDERS
Any order placed by the Customer shall constitute an offer by the Customer to purchase equipment from the Manufacturer pursuant to these terms and conditions and shall only be deemed accepted when the Manufacturer issues written acceptance of such order.
6) CANCELLATION
Orders placed with the manufacturer cannot be cancelled without the manufacturer’s written approval.
If the Manufacturer agrees to cancel an order, the Manufacturer shall be entitled to charge a reasonable fee for any work performed on behalf of Customer up to the date of cancellation, including a fee for the processing and acceptance of the Customer’s order and cancellation request.
7) TRANSFER OF RISK
The risk of loss or damage to the equipment passes to the Customer at the time the equipment leaves the manufacturer’s premises.
8) LIMITATION OF LIABILITY
Except as specifically provided for in these terms and conditions, all liability, conditions, warranty and/or representations implied by law are excluded to the fullest extent permitted by law.
9) PRICES AND PAYMENT
1) The price of the equipment shall be as stated in the invoices and quotes.
2) Prices DO NOT INCLUDE carriage, customs, value-added tax (VAT) or any other taxes, fees or charges, unless otherwise expressly agreed in writing by the parties.
3) The customer shall pay any invoice under the terms agreed with the manufacturer. Failure to pay or delay in payment implies an essential breach of the agreement between the parties. Accordingly, the manufacturer may take the measures it deems appropriate to claim its entitlement.
4) The Manufacturer does not refund monies paid.
10) DELIVERY
1) Delivery of the equipment specified in an order is contingent upon the timely fulfilment of all relevant obligations of the Customer. The manufacturer retains all rights and defences relating to the Customer’s breach of these terms and conditions.
2) If the Customer does not accept delivery of the Products at the place and on the date specified in the order, and without prejudice to any other remedies available to the Manufacturer, the Manufacturer shall be entitled to claim the resulting damages, including but not limited to any additional redelivery costs. In such a case, the risk of loss of or damage to the Products shall pass to the Customer at the time of non-acceptance or any other breach of the duty to cooperate with delivery.
11) RETENTION OF OWNERSHIP
1) The manufacturer shall retain full ownership of the equipment until it receives complete payment of all sums owed in respect thereof. Ownership shall only be transferred to the customer upon full payment of the price of the equipment.
2) If the customer is in material breach of these terms and conditions, including, but not limited to default of payment, the manufacturer shall be entitled to take possession of the goods for which it remains the owner.
3) Until ownership of the equipment has passed to the Customer, this party shall:
- i) Handle the equipment with due care, following the guidelines established by the manufacturer in the equipment instruction manual.
- ii) Immediately inform the manufacturer in writing of any issues relating to the equipment.
12) APPLICABLE LAW, JURISDICTION AND LANGUAGE
1) All transactions between the parties and any disputes or claims arising therefrom shall be governed by and construed in accordance with the laws of Spain.
2) The legal relationship created by this agreement and any dispute or claim arising out of or in connection with it (including non-contractual disputes or claims) shall be subject to the exclusive jurisdiction of the Spanish courts.
3) These terms and conditions have been prepared in different languages for better understanding by customers. However, the version that prevails and applies at all times is the Spanish version.
4) Information in compliance with Article 13 of Regulation (EU) 2016/679. The data of persons who come into contact with I-Motion Group Global Ibérica S.L., shall be processed in accordance with the provisions of the data protection regulations. Such data shall be incorporated and processed in the files of the company I-Motion Group Global Ibérica S.L. Persons who have provided data have the right to request the rectification or erasure of their data at Labradores, 13 Boadilla del Monte 28660 Madrid (Spain).
EQUIPMENT WARRANTY
- A) I-MOTION equipment warranty:
The manufacturer of the device stipulates the following conditions for service, warranty and after-sales service:
1 -The electronic board inside the WCM is guaranteed for 2 years. This warranty does not cover additional costs.
2 – The internal battery of the Wireless Communication Module (WCM) has a one (1) year warranty. This warranty does not cover wear and tear.
3 – The tablet and any other product not manufactured by I-Motion Group Global Ibérica S.L. are covered by the manufacturer of said product and not by I-Motion Group Global Ibérica S.L.
4 – The manufacturer guarantees the correct operation of the equipment from the date of purchase.
5 -Only parts that have not been damaged by improper use of the equipment shall be replaced or repaired.
6 – Textile garments, Bio-Jacket or its cables are considered consumables and therefore only have a 15-day warranty from delivery. However, the warranty does not cover damage or wear and tear.
7 – The equipment loses all warranties when subjected to:
– Modification by an unauthorised agent.
– Physical damage or blows.
– Improper stress or use.
– Connection to a mains supply that does not comply with the manufacturer’s specifications.
– Electrical discharges of any kind.
– Any condition including fire, water and any other event that may alter the proper operation of the equipment.
– Or in the case of the equipment control devices (e.g: Tablet) the warranty of the manufacturer of the device will apply and not that of I-Motion Group Global Ibérica S.L.
8 – The handling of the material by a third party other than the official technical service of the company I-Motion Group Global Ibérica S.L. or a technical service approved by the same implies the loss of any warranty on the material.

10 – The warranty terms and conditions contained in this document correspond to the warranties offered by the manufacturer. The manufacturer is not liable for any additional warranties that the dealer or sales representative may offer to the purchaser and, in this case, the purchaser must assert its rights against the person who sold the material.
11- The warranty does not cover economic losses due to the time the equipment is being repaired at the manufacturer’s technical service.
- B) I-Sculpt equipment warranty:
The manufacturer of the device stipulates the following conditions for service, warranty and after-sales service:
1 -The equipment has a 1 year warranty. This warranty does not cover additional costs.
2 – Concerning the hand pieces. No repairs are made. Instead they are replaced with new ones. However, there will always be a remote diagnosis from our side to make an assessment.
3 – The tablet and any other product not manufactured by I-Motion Group Global Ibérica S.L. are covered by the manufacturer of said product and not by I-Motion Group Global Ibérica S.L.
4 – The manufacturer guarantees the correct operation of the equipment from the date of purchase.
5 -Only parts that have not been damaged by improper use of the equipment shall be replaced or repaired.
6 – The dealer or customer must send us the equipment so that we can identify the fault with the manufacturer and check whether repair or replacement is necessary. In these cases, the customer who owns the equipment (either our direct customer or the dealer’s) must take into account that the time between delivery of the equipment, diagnosis, repair or replacement (possible order from China) can take between 4-8 weeks.
7 – The equipment loses all warranties when subjected to:
– Modification by an unauthorised agent.
– Physical damage or blows.
– Improper stress or use.
– Connection to a mains supply that does not comply with the manufacturer’s specifications.
– Electrical discharges of any kind.
– Any condition including fire, water and any other event that may alter the proper operation of the equipment.
– Or in the case of the equipment control devices (e.g: Tablet) the warranty of the manufacturer of the device will apply and not that of I-Motion Group Global Ibérica S.L.
8 – The handling of the material by a third party other than the official technical service of the company I-Motion Group Global Ibérica S.L. or a technical service approved by the same, implies the loss of any warranty on the material.
